(“Dealer”), with a principal place of business at

1. DESIGNATION AS NOKIAN TYRES AFFILIATED DEALER Subject to the terms and conditions set forth herein, Nokian Tyres designates Dealer as an Affiliated Dealer of Nokian Tyres brand tires (“Nokian Tyres Products”).

2. REQUIREMENTS Dealer’s status as an Affiliated Dealer of Nokian Products shall exist in accordance with the provisions of the Program and the accompanying General Terms and Conditions. Dealer’s status shall also be conditioned and dependent upon Dealer:

• Committing to sell >200 Nokian Tyres-brand tires, per store location, during the Term of Program (Annually)
• Stocking a segment of Nokian Tyres brand all-season tires
• Displaying visible Nokian Tyres outdoor branding
• Displaying in-store Point of Purchase materials
• Establishing a Dealer Services Account
• Linking a Google MyBusiness Account with Nokian Tyres.

Fulfilment of the above, including annual sales requirements, shall be verified by the Parties within one (1) month following the end of each Term, or Renewal Term, of the Program. Wholesale Distribution rules:

• No switching of wholesale distributor permitted.
• 80% of primary tire purchases must come from selected authorized primary distributor.
• Secondary supply is allowed but must come from an authorized Nokian Tyres distributor.Only up to 20% of the annual purchase volume from a secondary source will be counted.

3. TERM OF PROGRAM; RENEWAL TERM The duration of the Program shall be from January 1, 2025 until December 31, 2025 (“Term”). The Parties agree that the Program shall be automatically extended for one (1) year (“Renewal Term”) upon the expiration of the Term, or prior Renewal Term if applicable, unless either Party provides thirty (30) days’ notice, before such expiration, of its intention to terminate the Program.

4. GENERAL TERMS AND CONDITIONS The accompanying General Terms and Conditions constitute, and shall be considered, essential parts of the Program. By signing this document, Dealer acknowledges that it has reviewed, understands and accepts the General Terms and Conditions.

5. COUNTERPARTS The person signing this document on behalf of Dealer represents that he/she is duly authorized to do so. The electronic signature of Dealer’s representative shall constitute, and have the same force and effect as, an original signature.
