NOKIAN TYRES AFFILIATED DEALER PROGRAM THIS NOKIAN TYRES AFFILIATED DEALER PROGRAM (“Program”) is made and entered into as of the 9th day of September, 2025 (“Effective Date”),

by and between:

NOKIAN TYRES, INC. (“Nokian Tyres”) with a principal place of business at 520 Nokian Tyres Dr, Dayton, Tennessee, and
Subject to the terms and conditions set forth herein, Nokian Tyres designates Dealer as an Affiliated Dealer of Nokian Tyres brand tires (“Nokian Tyres Products”).
Dealer’s status as an Affiliated Dealer of Nokian Products shall exist in accordance with the provisions of the Program and the accompanying General Terms and Conditions. Dealer’s status shall also be conditioned and dependent upon Dealer:
  • Committing to sell >200 Nokian Tyres-brand tires, per store location, during the Term of Program (Annually)
  • Stocking a segment of Nokian Tyres brand all-season tires
  • Displaying visible Nokian Tyres outdoor branding
  • Displaying in-store Point of Purchase materials
  • Establishing a Dealer Services Account
  • Linking a Google MyBusiness Account with Nokian Tyres.
Fulfilment of the above, including annual sales requirements, shall be verified by the Parties within one (1) month following the end of each Term, or Renewal Term, of the Program.

Wholesale Distribution Rules:

  • Eligibility of Purchases: Only tire purchases made from an authorized NAD Pioneer distributor and intended for retail sale to end consumers are eligible for program qualification.
  • Supply Requirements: A minimum of 80% of annual tire purchases must be purchased from NAD Pioneer’s designated primary supplier. Purchases from an authorized secondary supplier may not exceed 20% of the total annual volume.
  • Secondary Supplier Authorization: To verify whether a secondary supplier is authorized, contact your Nokian Tyres sales representative. All secondary supplier relationships must be disclosed to Nokian Tyres to ensure proper documentation and tracking.
  • Change of Primary Distributor: Switching from one authorized primary distributor to another requires submission of a formal request. NAD Pioneer must provide a written request and justification to their Nokian Tyres sales representative. The request will be subject to review and approval by Nokian Tyres. Only 1 request per running 12-month period will be reviewed. Must be enrolled in on the program for 1 year period.
  • Opening Order: Upon approval, new customers must purchase 20 tires (5 sets) within 30 days of enrollment.
  • Multiple rooftops: Dealers with multiple locations must have all locations enroll to be eligible to participate.
The duration of the Program shall be from January 1, 2025 until December 31, 2026 (“Term”). The Parties agree that the Program shall be automatically extended for one (1) year (“Renewal Term”) upon the expiration of the Term, or prior Renewal Term if applicable, unless either Party provides thirty (30) days’ notice, before such expiration, of its intention to terminate the Program.
The accompanying General Terms and Conditions constitute, and shall be considered, essential parts of the Program. By signing this document, Dealer acknowledges that it has reviewed, understands and accepts the General Terms and Conditions.
The person signing this document on behalf of Dealer represents that he/she is duly authorized to do so. The electronic signature of Dealer’s representative shall constitute, and have the same force and effect as, an original signature.
